1. Acceptance of Terms

By creating an account, accessing our website, browser extension, mobile application, or any other services provided by SupliiChain Inc. ("Prospector," "we," "us," or "our"), you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not use our services.

2. Eligibility

To use Prospectoror, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using our services under applicable law
• Provide accurate and complete registration information

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Notify us immediately of any unauthorized access
• Not share your account credentials with others

4. Cashback & Rewards Program

4.1 How Cashback Works

Prospector partners with merchants who pay us commissions for referred purchases. We share a portion of these commissions with you as "cashback." Cashback rates are set by merchants and may change without notice.

4.2 Earning Cashback

To earn cashback, you must:

• Click through Prospectoror links or use our browser extension before making a purchase
• Complete your purchase in the same browser session
• Not use other coupon codes, cashback services, or browser extensions simultaneously (unless expressly permitted)
• Meet any merchant-specific requirements

4.3 Cashback Status

• Pending: Cashback is being tracked and verified (typically 30-90 days)
• Confirmed: Merchant has confirmed the purchase; cashback is available
• Declined: Cashback was not approved (returns, cancellations, fraud)

4.4 Withdrawals

You may withdraw confirmed cashback once your balance reaches $10 USD. Withdrawals are processed via PayPal, direct deposit, or gift cards. Processing typically takes 1-5 business days.

4.5 No Guarantee

Cashback is not guaranteed. Tracking may fail due to technical issues, browser settings, or merchant limitations. We will make reasonable efforts to recover missing cashback but cannot guarantee recovery.

5. $SPLI Token

5.1 Token Rewards

You may elect to receive rewards in $SPLI tokens instead of USD cashback. Token rewards are subject to market conditions and may fluctuate in value.

5.2 No Investment Advice

Nothing in our services constitutes investment, financial, legal, or tax advice. $SPLI tokens are utility tokens for platform use only. You acknowledge the speculative nature of digital assets.

5.3 Regulatory Compliance

Token features may not be available in all jurisdictions. You are responsible for compliance with local laws regarding digital assets.

6. Prohibited Conduct

You agree NOT to:

• Use automated tools, bots, or scripts to interact with our services
• Create multiple accounts to abuse promotions
• Make fraudulent purchases or engage in return abuse
• Manipulate or attempt to manipulate cashback tracking
• Violate any applicable laws or regulations
• Interfere with the operation of our services
• Reverse engineer, decompile, or disassemble our software
• Use our services for money laundering or illegal purposes

7. Intellectual Property

All content, trademarks, logos, and intellectual property on Prospector are owned by SupliiChain Inc. or our licensors. You may not copy, modify, distribute, or create derivative works without our written consent.

8. Third-Party Services

Our services link to third-party merchants and websites. We are not responsible for their products, services, privacy practices, or content. Your purchases are governed by the merchant's terms.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPLIICHAIN INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF CASHBACK YOU EARNED IN THE PAST 12 MONTHS OR (B) $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless SupliiChain Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason. Upon termination, you forfeit any pending or unconfirmed cashback. Confirmed cashback will be paid out according to our standard procedures.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any legal claim, you agree to contact us at legal@prospect.io to attempt informal resolution.

13.2 Arbitration

Any disputes not resolved informally shall be resolved by binding arbitration under the rules of the American Arbitration Association. You waive your right to participate in class actions.

13.3 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance.
